Terms of Services

These Terms of Service (“Terms”) are a legally binding agreement between you (“Client,” “you,” or “your”) and Paystrator (“Paystrator,” “we,” “us,” or “our”).

By registering, accessing, or using the Paystrator platform, APIs, dashboard, sandbox, or related services (collectively, the “Services”), you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, you must discontinue using the Services immediately.

1. Definitions

For clarity, the following terms shall have the meanings set out below:

  • “Account” means the registered account created by the Client to access and use the Services.
  • “API” means the application programming interfaces provided by Paystrator to enable integration with Providers.
  • “Client Data” means any information, content, or data provided or processed by the Client through the Services.
  • “Companies Data” means information relating to the Client’s business entity, including legal incorporation details, company registration numbers, ownership structures, directors, shareholders, and supporting compliance documents, submitted for verification and compliance purposes.
  • “Dashboard” means the Paystrator web-based interface enabling Clients to configure, monitor, and analyze their Transactions.
  • “Maestro” means Paystrator’s AI-powered orchestration engine that provides automation, optimization, and cost-reduction recommendations.
  • “Provider” means any licensed third-party payment service provider, aggregator, bank, or financial institution integrated via the Paystrator platform.
  • “Sandbox” means the test environment provided by Paystrator to simulate Transactions for development and integration purposes.
  • “Services” means all functionality and solutions provided by Paystrator, including but not limited to APIs, dashboard, sandbox, Maestro, integration tools, orchestration, and reporting.
  • “Transaction” means any payment-related activity (acceptance, disbursement, or otherwise) initiated, managed, or monitored through the Services.

2. Description of Services

Paystrator is a Payment Aggregator Management Platform (PAMP) that enables businesses to manage multiple payment integrations efficiently. The Services include:

  1. API Connectivity – unified APIs to connect with multiple Providers.
  2. Orchestration – sequencing, routing, and failover management of Transactions.
  3. Dashboard Access – reporting, analytics, and monitoring of Transactions.
  4. Sandbox Environment – simulation tools for testing integrations.
  5. AI Assistance (Maestro) – recommendations and automation to improve efficiency and reduce operational costs.

Paystrator itself does not operate as a licensed payment institution, remitter, or bank. All monetary Transactions are executed by licensed Providers. Paystrator provides only the technical integration and orchestration layer.

3. Eligibility

You may only use the Services if you:

  1. Are at least 18 years of age and legally capable of entering into binding contracts;
  2. Are a duly incorporated and lawfully operating business entity;
  3. Provide complete and accurate Companies Data required for Know Your Business (KYB) verification;
  4. Comply with all applicable laws, including AML (Anti-Money Laundering) and CTF (Counter-Terrorism Financing) regulations;
  5. Do not fall under any restricted, prohibited, or sanctioned jurisdictions.

We reserve the right to suspend or terminate Services if these requirements are not met.

4. Account Registration and Security

  • You must create an Account with valid and complete information.
  • You are responsible for protecting your login credentials, API keys, and access tokens.
  • You remain liable for all activity under your Account.
  • You must provide Companies Data during onboarding and agree to keep it updated to maintain compliance.

5. Permitted Use

The Services must only be used for legitimate, lawful business purposes. You must not:

  • Use the Services for illegal, fraudulent, or high-risk activities;
  • Facilitate payments for prohibited goods or services;
  • Attempt to bypass limits, restrictions, or security features;
  • Copy, reverse-engineer, or exploit Paystrator’s software or infrastructure;
  • Engage in activities that may harm Paystrator’s reputation or violate Provider requirements.

6. Fees and Payments

  • Membership Fee: Clients shall pay a recurring membership fee (monthly, annually, or as otherwise agreed) for continued access to the Services. Membership fees are non-refundable.
  • Transaction Fee: Clients shall pay a per-transaction fee for each Transaction processed through the Services.
  • Applicable Rates: The applicable rates, fee structures, and payment schedules shall be as agreed in the Client Agreement or Contract Agreement executed between the Client and Paystrator.
  • Provider Charges: The Client remains responsible for fees charged directly by Providers (banks, payment gateways, or aggregators).
  • Taxes: All fees are exclusive of applicable taxes (including VAT/PPN, GST, or similar), which shall be borne by the Client.
  • Invoicing and Payment Terms: All invoices issued by Paystrator must be paid within the timeframe specified in the Client Agreement. Late payments may result in penalties, suspension, or termination of Services.

7. Sandbox Environment

  • The Sandbox is provided for integration and testing purposes only.
  • Transactions in the Sandbox are simulated and do not represent actual money movement.
  • Sandbox data may be modified or removed at any time without prior notice.

8. Data Protection and Confidentiality

  • Paystrator processes Client Data and Companies Data in accordance with applicable data protection laws.
  • You retain ownership of your data; Paystrator acts as a data processor when handling information connected to Providers.
  • Both parties must protect confidential information from unauthorized disclosure, except where disclosure is legally required.

9. Compliance Obligations

  • The Client is solely responsible for compliance with laws and regulations applicable to its operations and Transactions.
  • Paystrator reserves the right to suspend or terminate Services if suspicious or unlawful activities are detected.
  • The Client agrees to provide updated Companies Data upon request to maintain regulatory compliance.

10. Service Availability

  • Paystrator strives to maintain reliable Services but does not guarantee uninterrupted access.
  • Downtime or service interruptions may occur due to maintenance, Provider outages, or force majeure events.
  • Paystrator shall not be liable for losses caused by third-party Providers or network failures.

11. Intellectual Property

  • All intellectual property rights in the Services, including APIs, dashboards, documentation, and trademarks, remain the exclusive property of Paystrator.
  • Clients are granted a limited, non-exclusive, non-transferable license to use the Services during the term of their agreement.

12. Limitation of Liability

To the fullest extent permitted by law:

  • Paystrator’s total liability is limited to direct damages not exceeding the total fees paid by the Client in the preceding three (3) months.
  • Paystrator shall not be liable for indirect, incidental, or consequential damages, including lost profits, revenue, or data.
  • Paystrator assumes no liability for issues caused by Providers, networks, or Client misuse of the Services.

13. Suspension and Termination

We may suspend or terminate your Account and Services immediately if you:

  • Breach these Terms or any Client Agreement;
  • Fail to make timely payments;
  • Engage in illegal, fraudulent, or high-risk activities;
  • Are subject to legal or regulatory restrictions that prevent continued service.

Termination does not release you from payment obligations accrued prior to termination.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed under the laws of Singapore.

  • The parties shall first attempt to resolve disputes amicably within thirty (30) days.
  • If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore.

15. Amendments

We may revise these Terms at any time. Material changes will be communicated to the Client via email or through the Dashboard. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
